Terms of Service
1) Acceptance and Scope
By accessing or using VectorMetrics, you agree to these terms. If you are using the service on behalf of an organization, you represent that you are authorized to bind that organization.
2) Service Description
VectorMetrics is a construction intelligence platform that provides bid review, win-probability and margin-risk scoring, workflow prioritization, and related analytics. Outputs are decision-support tools and do not replace professional judgment.
3) Eligibility and Territory
Unless otherwise agreed in writing, service availability is intended for U.S.-based commercial use.
4) Accounts and Access
You are responsible for account credentials, user provisioning, and activity under your account. You must maintain accurate account information and use reasonable safeguards to prevent unauthorized access.
5) Customer Responsibilities
You confirm you have all required rights, permissions, and notices to upload and process data via VectorMetrics. You are responsible for data quality, lawful processing, and stakeholder communications required by law or contract.
6) Data Ownership and License
You retain ownership of your customer data. You grant VectorMetrics a limited license to host, process, and analyze data as necessary to provide, secure, maintain, and improve contracted services.
7) Pilot and Evaluation Terms
Pilot access may include temporary feature flags, plan overrides, and time-boxed terms. Pilot scope, duration, and success criteria may be governed by an order form or pilot agreement and may be adjusted with notice.
8) Billing and Payments
Paid subscriptions renew based on your billing cycle unless canceled. Fees are non-refundable except where required by law or specified by contract. Stripe processes payments and related payment data.
9) Acceptable Use
You may not misuse the service, upload unlawful content, attempt unauthorized access, reverse engineer restricted platform components, or use the service to violate privacy, discrimination, procurement, or competition laws.
10) Third-Party Services and Integrations
The platform relies on third-party services (e.g., hosting, analytics, billing, storage, and integration providers). Your use of connected systems remains subject to those providers’ terms and your own contractual obligations.
11) AI and Analytics Disclaimer
Predictions, risk scores, confidence levels, and recommendations are probabilistic outputs. They are not guarantees of bid outcomes, project performance, or margin realization. Final decisions remain your responsibility.
12) Warranties and Service Levels
Unless separately agreed in writing, services are provided on an “as is” and “as available” basis. Any response-time or uptime commitments apply only if explicitly stated in your order form or enterprise agreement.
13) Limitation of Liability
To the fullest extent permitted by law, VectorMetrics’ total liability for claims arising from the service is limited to amounts paid by you for the service during the 12 months before the event giving rise to the claim. Indirect, incidental, special, and consequential damages are excluded where legally permitted.
14) Indemnification
You agree to indemnify VectorMetrics against third-party claims resulting from your data, your misuse of the service, or your violation of law or contract.
15) Suspension and Termination
VectorMetrics may suspend access for security risk, nonpayment, legal noncompliance, or material misuse. Upon termination, data export/deletion is handled per contract and retention policy.
16) Governing Law
These terms are governed by applicable U.S. law unless a separate signed agreement specifies otherwise.
Privacy Policy
1) Data We Collect
Account/profile data, uploaded files, integration data, model outputs, activity/audit logs, billing metadata, and support/contact submissions.
2) How We Use Data
To provide services, run analytics and model workflows, support operations, secure the platform, detect abuse, maintain quality, and measure product and marketing performance.
3) Training and Benchmark Boundaries
Workspace data may be used to improve your own workspace models and contracted outputs. We do not use customer bid packages to train public foundation models, and we do not share raw identifiable records with other customers. Aggregated/de-identified statistics may be used for reliability, benchmarking, and product performance.
4) Data Sharing
We do not sell personal data. We may share data with subprocessors that help deliver the service (e.g., cloud hosting, storage, billing, analytics, email), under confidentiality and security obligations.
5) Cookies and Measurement
We may use cookies/local storage and related technologies for authentication, security, analytics, and conversion attribution (including Google Ads conversion events where configured).
6) Payment Data
Payments are processed by Stripe. VectorMetrics does not store full payment card numbers. We process billing metadata needed for subscription operations and support.
7) Sensitive Data Restrictions
Do not upload regulated sensitive data (e.g., protected health information, biometric data, children’s data) unless explicitly covered by contract and required controls.
8) Security and Retention
We apply encryption in transit, access controls, logging/monitoring, and retention controls. Data is retained for active service and legal/contract needs, then deleted or anonymized per policy.
9) Your Rights and Requests
Subject to applicable law, you may request access, correction, export, or deletion of your data. Contact: privacy@vectormetrics.net.
Security and Trust
1) Core Controls
HTTPS/TLS transport, token-based auth, role-aware access, audit logging, operational monitoring, and secure secret handling.
2) Bid Document Confidentiality
Uploaded plans, specs, addenda, estimate files, inclusions, and exclusions are treated as confidential customer materials. NDA review is available for pilots and enterprise evaluations.
3) Incident Response
Security events are triaged, contained, and communicated to affected customers as appropriate and without undue delay after confirmation of relevant incidents.
4) Insurance
VectorMetrics maintains technology E&O and cyber liability insurance coverage for commercial operations.
Data Processing Terms (DPA Summary)
For paid business services, customer acts as controller and VectorMetrics acts as processor/service provider for contracted analytics and workflow processing. Subprocessor use, breach notice, deletion/return support, and assistance with data subject requests are handled under the applicable agreement.
